USE CASE

Start with what you want to do

The business model narrows the options. In the same country, FX, payments and crypto usually need different licences from different regulators.

FX / BROKERAGE

FX, CFDs and securities

Brokerage or dealing for clients. Acting as principal (market making) raises capital requirements sharply.

  • Cyprus investment firm (CySEC): EU passport
  • Hong Kong SFC Type 1 / Type 3
  • DIFC (DFSA) and ADGM (FSRA)
  • Seychelles, Mauritius, Labuan, Vanuatu
PAYMENTS / EMI

Payments, remittance and e-money

Wallets, payment processing, remittance, prepaid. An EU EMI or PI licence can be passported across the EU.

  • EMI / PI in Lithuania, Malta, Cyprus, Estonia
  • Singapore MAS SPI / MPI
  • UAE Central Bank retail payment licences
  • Canada FINTRAC MSB, US FinCEN + state licences
CRYPTO

Crypto: exchange, brokerage, custody

2026 is the year the rules settled: the EU's MiCA transition is over and only authorised providers may operate.

  • EU MiCA CASP (Lithuania, Malta, Cyprus, Estonia, etc.)
  • Dubai VARA, DIFC, ADGM
  • Hong Kong SFC VATP licence
  • Canada FINTRAC, US state licences and NY BitLicense

BANKING

Corporate bank accounts

A licence is useless without a bank account. Prepare banking in parallel with the application.

Prepare banking in parallel

Where capital must be evidenced during the application (Dubai VARA, ADGM), the bank account comes before the licence.

Banks and EMIs

Traditional banks are slow to onboard. In the EU, many firms start with a licensed EMI account and add a bank later.

What banks ask for

Constitutional documents, UBO ID and source of funds, business plan, licence or application, main counterparties and flows of funds.

Residency of signatories

UAE banks commonly require a UAE-resident signatory; some Singapore banks only open accounts for payment firms once licensed. The HKMA tells banks not to refuse an account merely because a company is offshore or its directors are non-resident.

Crypto and money services

Banks in many countries treat crypto and money services as high risk. Documenting your AML controls and flows of funds from the start makes onboarding easier.

Personal accounts

If founders relocate, personal accounts usually require a UAE residence visa and Emirates ID, or a Singapore work pass.

JAPAN

Serving clients in Japan

A foreign licence does not let you serve Japanese residents: as a rule, Japanese registration is required.

If you plan to serve clients in Japan

  • Financial instruments business (FX, securities, etc.) requires FSA registration (Financial Instruments and Exchange Act, Art. 29). Foreign securities firms may not, in principle, deal with persons in Japan (Art. 58-2).
  • A Japanese-language website or Japan-targeted advertising is in principle "solicitation". Unless the firm clearly states that Japanese investors are not covered and blocks orders from Japanese residents, it is treated as soliciting (FSA Supervisory Guidelines).
  • The FSA issues warning letters to unregistered overseas firms and publishes their names (list updated September 2026).
  • Since 12 August 2026 the penalty for unregistered business is up to 10 years' imprisonment and/or a JPY 10m fine, and up to JPY 700m for a company.
  • Crypto exchange services also require registration, and unregistered foreign exchanges may not solicit people in Japan (Payment Services Act Arts. 63-2, 63-22). An amendment passed in July 2026 moves crypto into the Financial Instruments and Exchange Act within a year of promulgation.
  • In February 2025 the FSA reportedly asked app stores to stop offering the apps of unregistered overseas crypto exchanges in Japan.

We do not help set up structures for soliciting or dealing with Japanese residents without Japanese registration. If you want Japanese clients, we will explain the registration or partnership routes as well.

FAQ

FAQ

Choosing only on ease often backfires later: no bank account, or counterparties that will not onboard you. Shortlist by business type, client countries, budget and the staff you can place locally.

In most jurisdictions acquiring control of a licensee requires prior regulatory approval (e.g. 60 working days under MiCA; DFSA decides within 90 days). It can be faster than a new application, but due diligence on the target's history and AML is essential. Some licences lost their value after rule changes, such as Estonia's legacy crypto licences.

As a rule, no. Dealing with Japanese residents in FX, securities or crypto requires Japanese registration. Since August 2026 the penalty is up to 10 years' imprisonment and a JPY 10m fine (JPY 700m for companies).

Regulator application and annual fees, local registered office, directors, compliance officer and MLRO, audit and legal fees. Dubai VARA, for example, publishes an AED 100k application fee and AED 200k annual fee per activity.

No. Banks apply their own risk appetite, and crypto and money services face particular caution. Document your AML controls and flows of funds and start banking in parallel with the application.
